This page (together with the documents referred to on it) tells you the terms and conditions (the “Terms”) on which all users (“you”, “your”) may make use of the Website, whether as a guest or a registered user. Please read these terms of use carefully before you start to use the Website. By using the Website, you indicate that you accept these Terms and the Privacy Statement, and that you agree to abide by them. If you do not agree to these Terms, please refrain from using the Website.

Access to the Website is permitted on a temporary basis, and we reserve the right to withdraw or amend the services we provide on the Website without notice. We will not be liable if for any reason the Website is unavailable at any time or for any period.
From time to time, we may restrict access to some parts of the Website, or the entire Website, to users who have registered with us for specific services.
If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We may from time to time provide interactive services on the Website, including, without limitation blogs, chat rooms, discussion boards and bulletin boards (“Interactive Services”).
Where we do provide any Interactive Service, we reserve the right to oversee, monitor or moderate any Interactive Service, however, we are under no obligation to do so and we expressly exclude our liability for any loss or damage arising from the use of any Interactive Service by you in contravention of our Content Standards (see section “Content Standard” below), whether the service is moderated or not.
Content standards
These content standards apply to any and all material which you contribute to the Website (“Contributions”), and to any Interactive Services associated with them (“Content Standards”).

Suspension and termination
We will determine, in our discretion, whether there has been a breach of these Terms through your use of the Website. When a breach of these Terms has occurred, we may take such action as we deem appropriate.
Failure to comply with these Terms constitutes a material breach of the terms upon which you are permitted to use the Website, and may result in our taking all or any of the following actions:
- Immediate, temporary or permanent withdrawal of your right to use the Website.
- Immediate, temporary or permanent removal of any posting or material uploaded by you to the Website.
- Issue of a warning to you.
- Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
- Further legal action against you.

Indemnity
You agree to indemnify us and keep us indemnified (including our directors, agents, servants and employees) against all losses, costs, charges, demands, proceedings, damages, actions, expenses and claims howsoever incurred by us as a result of your use of the Website or a breach by you of any of these Terms.
In the event that your Contributions infringe any rights of any third party, you shall, at your own expense and at our discretion, either obtain the right to use such Contribution or render such Contribution free of any infringement.
Links from the Website
Where the Website contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.
Jurisdiction and applicable law
The French courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to the Website although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country. These Terms are governed by French law.
Variations
We may revise these Terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Notices
All notices given by you to us should be given to us at support@salesdials.com. Subject to and as otherwise specified in these Terms we may give notice to you at either the email or postal address you provide to us during the registration process.
Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an email is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an email, that such email was sent to the specified email address of the addressee.
Waiver
If we fail to insist upon strict performance of any of your obligations under any of these Terms, or if we fail to exercise any of the rights or remedies to which we are entitled under these Terms, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations. A waiver by us of any default shall not constitute a waiver of any subsequent default. No waiver by us of any of your obligations under these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing in accordance with section “Notices” above.
Severability
If any of these Terms are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

These Terms and any document expressly referred to in them represent the entire agreement between you and us in relation to their subject matter and supersede any prior agreement, understanding or arrangement between you and us, whether oral or in writing.

We take your online security very seriously and this Website has security measures in place to protect the loss, misuse and alteration of the information under our control. However, as no data transmission over the Internet can be guaranteed as 100% secure, we cannot ensure or warrant the security of any information you transmit to us and you transfer the data at your own risk. Billing and Refund policy
Cards Accepted as Payment
We accept Visa, MasterCard and American Express credit cards. Stored-value cards (i.e., merchant gift cards, or prepaid debit cards) cannot be used for the payment.
All transactions for SalesDials are carried out in USD, and the subscriber will be charged in USD for any payments made. The subscriber must take note to confirm with their bank / credit card company in order to check any additional charges will be levied for making payments in USD.
SalesDials will not be responsible for any charges arising out of payments wherein the default currency of the card / bank used for the payment is not USD.
Payment Options - Refund policy
Your 15-Day Free Trial period begins on the date your order is placed.
After the trial period, once your payment starts, you will be automatically billed monthly, quarterly, or annually depending on the chosen billing cycle of monthly, quarterly, or annually respectively. The charges will occur in advance for the billing cycle. Once you have been charged for the billing cycle, a refund will not be possible in any of the billing cycle options. If you cancel your subscription to SalesDials before the end of your billing cycle, you will not be charged for any subsequent cycle. In case of a discount code, unless specified, the discount code is valid only for the first billing cycle and you will be charged normal rates in subsequent cycles.
A subscription is considered cancelled if and only if the customer has conveyed the same through support@salesdials.com atleast 72 hours before the end of the billing cycle.
Signing up for SalesDials
When you sign-up for a free trial of SalesDials, you can receive 15 days of free SalesDials apps access. You have the option of paying during your free trial or after the end of your free trial.
Upgrade or downgrade your plan
You can upgrade to a new plan at any time. You can downgrade your plan at any time only if an inferior pricing plan exists.
For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.
Downgrading your Service may cause the loss of Content, features, or capacity of your Account. Alpha Flexi does not accept any liability for such loss.
Please also note that you are limited at one upgrade or downgrade operation per month.
Once a billing cycle has been initiated, it is not possible to change the time frame of the cycle, i.e. if you have selected an annual time frame for the billing cycle, it cannot be changed to quarterly, monthly, and vice versa. This is due to a restriction of our payment partner, braintreepayments (https://www.braintreepayments.com/). The restriction also applies during downgrading or upgrading your plan as well.
During the free trial, an upgrade or downgrade of the plan will lead to a cancellation of the free trial, and you will be asked to pay according to the new plan. In such a situation, the billing date would be on the date that you place the order for upgrade or downgrade of the plan and not the date your free trial was started.
Disruption of service
SalesDials will not be responsible for disruption of services related to any third party issues, including but not limited to 37signals, Rackspace, etc.
Any disruption of service of SalesDials due to non-availability of service from those providers shall not entitle the user for any refunds or liabilities from SalesDials and/or Alpha Flexi.
The user must be aware that SalesDials login relies on the Highrise login key and if Highrise account is suspended for any reason you may not be able to access your SalesDials data.
